1. Services
Shannon Kelly Editing provides professional copy-editing services for manuscripts, books, contracts, and other professional documents. The scope of each project is agreed upon in writing prior to commencement of work.
2. Project Agreements
All projects are subject to a written agreement or invoice confirming the scope, word count, pricing, and timeline. Work will not begin until a project agreement has been confirmed and any required deposit has been received.
3. Pricing and Payment
Pricing is based on a per-word rate as published on our website or as agreed upon in your project proposal. Payment terms are outlined in your project agreement. We reserve the right to pause or withhold delivery of work for non-payment.
4. Revisions and Scope Changes
The agreed scope of work is defined at the time of project confirmation. Requests for additional revisions or changes in scope may result in additional fees. Any scope changes must be agreed upon in writing.
5. Turnaround Times
Estimated turnaround times are provided in good faith and are based on project size and current workload. Shannon Kelly Editing is not liable for delays caused by client-side factors, including late submission of materials or slow response to communications.
6. Client Responsibilities
Clients are responsible for:
- Submitting final, complete manuscripts or documents for editing.
- Providing clear and timely communication regarding project needs and feedback.
- Retaining backup copies of all submitted files.
7. Intellectual Property
All original content submitted for editing remains the intellectual property of the client. Shannon Kelly Editing does not claim ownership of any client materials. Edited files are provided solely for the client's use.
8. Confidentiality
We treat all manuscripts and client documents as strictly confidential. We will not share, reproduce, or distribute any client materials without express written consent.
9. Limitation of Liability
Shannon Kelly Editing is not liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to errors that were not part of the agreed copy-editing scope. Our total liability for any claim shall not exceed the amount paid for the specific project in question.
10. No Guarantee of Outcomes
Copy editing improves the quality and readability of a manuscript but does not guarantee publication, acceptance, or any specific outcome. Shannon Kelly Editing makes no warranties, express or implied, regarding the results of our services.
11. Termination
Either party may terminate a project agreement with written notice. In the event of termination, the client is responsible for payment for work completed up to the date of termination. Deposits are non-refundable unless otherwise specified in the project agreement.
12. Governing Law
These Terms shall be governed by the laws of the state of Nevada, without regard to conflict of law provisions.
13. Changes to These Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
